Terms of Service — Tech-Wave Studio

1. Agreement to Terms

By accessing or using any services provided by Tech-Wave Studio ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Tech-Wave Studio provides digital product development services including, but not limited to: web development, mobile application development, UI/UX design, game development, social media management, and digital marketing. The scope of services for each engagement is defined in a separate Statement of Work or project agreement.

3. Client Responsibilities

You agree to provide accurate, complete, and timely information necessary for us to deliver our services. You are responsible for reviewing and approving deliverables within agreed timeframes. Delays caused by late feedback or approvals may affect project timelines and costs.

4. Intellectual Property

Upon full payment of all agreed fees, Tech-Wave Studio transfers ownership of all custom work product created specifically for your project. We retain the right to use general methodologies, frameworks, and non-client-specific tools developed during the engagement. We may reference the project in our portfolio unless you request confidentiality in writing.

5. Payment Terms

Payment terms are outlined in your individual project agreement. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may result in work pausing until the outstanding balance is cleared. All fees are non-refundable once work has commenced on a deliverable.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, technical details, and client data. This obligation survives the termination of the project.

7. Limitation of Liability

To the maximum extent permitted by law, Tech-Wave Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the total fees paid by you in the three months preceding the claim.

8. Termination

Either party may terminate the engagement with 14 days written notice. You will be invoiced for all work completed up to the termination date. Tech-Wave Studio reserves the right to terminate immediately in cases of non-payment or violation of these terms.

9. Governing Law

These terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation before pursuing formal legal proceedings.
